Please read these Terms of Service ("Terms," "Terms of Service") carefully before using the WitNinja mobile application (the "App") operated by CopelandCode ("us," "we," or "our").

Your access to and use of the App is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the App.

By accessing or using the App, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the App.

1. Your Access to the Service

WitNinja provides an AI-powered floating overlay service for Android devices, enabling you to generate text (rewrites, jokes, pickup lines, replies to conversations/bios from images) based on your input and selected personas.

2. User Conduct and Responsibilities

  • You agree not to use the App for any purpose that is unlawful or prohibited by these Terms. You are responsible for all your activity in connection with the App.
  • You are responsible for your own communications and for any consequences thereof.
  • You agree to use the App only for purposes that are legal, proper, and in accordance with the Terms, and any applicable laws, regulations, or policies.
  • You agree not to use the App in any way that could damage, disable, overburden, or impair the App or interfere with any other party's use and enjoyment of the App.
  • You are solely responsible for ensuring that your use of the App complies with all applicable laws, rules, and regulations in your jurisdiction.

3. User-Generated Content

  • Your Input: When you use features that require input (text, images/screenshots for "Visual Wit" or "Reply to Bio"), this content is processed by our AI providers. We do not store this input content on our servers after processing. Local content, such as your rewrite history and conversation cache, is stored on your device only.
  • Responsibility for Content: You are solely responsible for the content you input into the App. You warrant that you own or have the necessary rights to use and input such content, and that your input content does not violate any third-party rights, including intellectual property rights or privacy rights.
  • License to Your Input: By submitting input content, you grant WitNinja a limited, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of operating, developing, and improving the App and its AI services. This license terminates when you remove the content from the App (e.g., clear history) or cease using the relevant features.

4. AI-Generated Content

  • Nature of AI Output: The App generates content using artificial intelligence. AI-generated content may sometimes be inaccurate, inappropriate, biased, or reflect the AI's training data.
  • Your Responsibility: You acknowledge and agree that you are solely responsible for reviewing, editing, and verifying the accuracy and appropriateness of any AI-generated content before using it. You bear all risks associated with the use of AI-generated content.
  • No Endorsement: WitNinja does not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any AI-generated content.
  • No Warranty: We make no warranties regarding the quality, suitability, originality, or legality of the AI-generated content.

5. Intellectual Property

The App and its original content, features, and functionality are and will remain the exclusive property of CopelandCode and its licensors. The App is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of CopelandCode.

6. Subscriptions and Billing (if applicable)

  • Pro Features: Certain features of the App may require a subscription ("Pro Features"). By subscribing to Pro Features, you agree to pay the applicable fees and charges.
  • Auto-Renewal: Subscriptions may automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period.
  • Changes: We reserve the right to change our subscription fees at any time, provided that any such changes will not apply to fees already paid.

7. Third-Party Services

The App may integrate with or contain links to third-party websites or services that are not owned or controlled by WitNinja (e.g., Google Play Store for subscriptions, Firebase services for AI, Google AdMob for ads). We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that WitNinja shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

8. Disclaimers

Your use of the App is at your sole risk. The App is provided on an "AS IS" and "AS AVAILABLE" basis. The App is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

WitNinja does not warrant that a) the App will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the App is free of viruses or other harmful components; or d) the results of using the App will meet your requirements.

9. Limitation of Liability

In no event shall CopelandCode, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the App; (ii) any conduct or content of any third party on the App; (iii) any content obtained from the App; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

10. Indemnification

You agree to defend, indemnify and hold harmless CopelandCode and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the App, by you or any person using your account and password; b) a breach of these Terms, or c) content posted on the App.

11. Termination

We may terminate or suspend your access to our App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of New Jersey, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our App, and supersede and replace any prior agreements we might have between us regarding the App.

13. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the App.
